Default D5 Transmission HELP

Hi all, last week i was driving on the motorway then suddenly a loud grinding (metalic) noise started, i pulled off the road very quickly as i thot my life was in immediate danger. The AA recovery man checked it and did not find any obvious faults.
So from reading on forums i kind of found evidence to suggest that my problem lies with the transmission. Why?

1. the loud noise only appears when foot is taken off the accelerator, is louder with speed
2. checking the transmission oil, it looked more like engine oil, brown/black.
3. my car has at times idled strange when at a stop while transmission in D (drive) seemed like it was engaging then disengaging gears whilst stopped. Will do this for a few seconds then idle normally. This does not happen while using the manual gearbox function.

Besides this i have not really noticed any other problems with the transmission, i normally drive it using the manual setup and all gears engage ok.
So is this definately a transmission problem, and if so is this a repair or replace job?

I have a XC90 D5 Auto 2003 on 75k miles
